Social Media Promotion Terms & Conditions
Eligibility
- Businesses must operate within Visit Duluth’s geographic service area.
- Content must align with the destination brand, mission, and audience.
Content Submission Requirements
Partners must:
- Submit requests through this form.
- Provide complete, ready-to-post materials (copy, images, links, dates).
- Submit content at least 10 business days prior to requested post date.
- Confirm all event details are accurate and publicly available.
The CVB reserves the right to edit copy for:
- Tone and brand alignment
- Length and clarity
- Platform optimization
- Legal compliance
Content Guidelines
The CVB will not post content that:
- Promotes political candidates or ballot initiatives.
- Contains discriminatory, defamatory, or offensive language.
- Violates copyright, trademark, or intellectual property laws.
- Includes misleading pricing, false claims, or unverified promotions.
- Promotes adult content, illegal activity, gambling (if restricted), or regulated substances.
- Competes directly with a paid CVB advertising partner during exclusive campaign windows (if applicable).
Image & Video Rights
By submitting content, the partner:
- Warrants they own or have full rights to all submitted materials.
- Grants the CVB a non-exclusive, royalty-free license to use the materials across CVB-owned digital platforms.
- Confirms all identifiable individuals have provided appropriate release permissions.
The CVB is not responsible for copyright disputes arising from submitted materials.
Posting Discretion
- Social posts are not guaranteed and are subject to editorial discretion.
- The CVB reserves the right to:
- Decline requests
- Reschedule posts
- Modify format or messaging
- Remove posts if information becomes inaccurate
Editorial priority may be given to:
- Seasonal campaigns
- Paid placements
- Destination-wide initiatives
- Events of regional or economic impact
Scheduling & Frequency
- Posting frequency per partner may be limited (e.g., X posts per quarter).
- Time-sensitive events may receive priority but are not guaranteed placement.
- The CVB does not guarantee specific posting times or engagement levels.
Indemnification
Partner agrees to indemnify and hold harmless the CVB, its staff, and board from any claims arising from:
- Inaccurate information
- Intellectual property infringement
- Event cancellations or operational failures
- Regulatory non-compliance
Crisis & Reputation Management
- If a partner experiences legal, reputational, or operational issues, the CVB may remove or decline related content.
- CVB reserves the right to suspend promotional activity during emergencies or crises.
Tagging & Links
- CVB may choose whether to include direct links, ticket pricing, or booking codes.
- Affiliate or commission-based links must be disclosed.
- Excessive promotional language may be edited.
Contests & Giveaways
If a partner requests a giveaway:
- Must comply with platform rules (Meta, Instagram, etc.).
- Must include official rules, eligibility restrictions, and prize details.
- CVB must approve contest mechanics in advance.
- Partner is responsible for prize fulfillment and tax reporting.
- CVB may require a liability waiver and indemnification clause.
Paid vs. Organic Promotion
- Organic social posts do not include paid boosting unless otherwise agreed in writing.
- Paid social placements require a separate agreement and budget approval.
- Performance metrics are not guaranteed for organic content.
Performance & Reporting
- Engagement metrics are not guaranteed.
- CVB may provide performance data at its discretion.
- Social media promotion does not constitute endorsement.
Term & Modification
- These terms may be updated at any time.
- Continued participation constitutes acceptance of updated terms.
